Naivas supermarket chain owners have filed a court application seeking to revive Achievo Limited, a human resource outsourcing company that was removed from the Companies Register in May 2026.
The company’s dissolution was published in Gazette Notice No. 8218 on May 29, prompting the applicants to seek the intervention of the High Court to restore its legal status.
They want the Registrar of Companies ordered to reinstate Achievo and have asked the court to suspend the effects of its dissolution as the case is heard.
The applicants argue that the company’s removal from the register could affect its financial accounts, property and business activities. They have asked the court to ensure that its assets are not treated as bona vacantia, a legal term for property without a recognised owner that may pass to the state.
The application also seeks to protect transactions and obligations undertaken during the period between the company’s dissolution and its possible restoration.
The applicants want the court to validate contracts, payments, business transactions, statutory remittances and legal proceedings conducted by or against Achievo during that period.
They are also seeking permission for the company to file all outstanding annual returns within 60 days of its restoration, or within another period determined by the court.
Annual returns are statutory filings that companies submit to the Registrar of Companies to keep their records updated.
The case is before Lady Justice Rhoda Rutto under High Court Commercial and Tax Division case number HCCOMMISC/E1022/2026.
The applicants have asked the court to certify the matter as urgent and issue orders that would protect the company and other parties affected by its dissolution.
They want Achievo and those affected by its removal from the register to be placed, as far as practicable, in the position they would have occupied had the company not been dissolved.
The court is yet to determine the application. Achievo’s restoration and the requested validation of its business activities will depend on the outcome of the proceedings.
